END USER LICENSE AGREEMENT TOWERSENSE GATEWAY SOFTWARE PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE SOFTWARE. BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE. 1. DEFINITIONS "Licensor" means Ingenuity Networks (Pty) Ltd, trading as Tower Sense, a company incorporated in the Republic of South Africa. "Software" means the Tower Sense gateway software provided by Licensor, including the installed binary, embedded open-source components, configuration files, installers, local operational tooling, and any locally hosted web portal used solely to view activity and status of the installed Software. For clarity, the Software does not include any cloud-hosted dashboards, alerting systems, analytics services, APIs, or other Tower Sense cloud services unless expressly stated. "Services" means Tower Sense cloud-based services, which are governed by separate commercial terms and conditions. 2. LICENSE GRANT Subject to this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices owned or controlled by you, solely for internal business purposes and solely in connection with the Services. No rights are granted except as expressly stated. 3. RESTRICTIONS You may not: a) copy, modify, distribute, or create derivative works of the Software except as permitted by law; b) reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by law; c) rent, lease, sell, sublicense, or transfer the Software to any third party; d) remove or alter proprietary notices; or e) use the Software in violation of applicable laws or regulations. 4. INTELLECTUAL PROPERTY The Software is and remains the exclusive property of Licensor and its licensors. All intellectual property rights not expressly granted are reserved. Embedded open-source components, if any, are licensed under their respective open-source licenses. 5. TRADEMARKS Tower Sense is a trademark of Ingenuity Networks (Pty) Ltd in the Republic of South Africa and may be registered in other jurisdictions. You may not use the Tower Sense name, logo, or trademarks without prior written consent from Licensor, except as required for reasonable and customary use in describing the origin of the Software. 6. DATA COLLECTION AND PRIVACY The Software may collect and transmit operational data, including device status, sensor readings, diagnostics, recipient details, configuration metadata, and telemetry, to Tower Sense cloud services. Where such operational or monitored-environment data is supplied by you or on your behalf, you act as the responsible party or controller and Licensor acts as the operator or processor for purposes of applicable data protection laws, including POPIA. You are responsible for ensuring that you have a lawful basis for processing and transmitting such data. Separately, Licensor acts as responsible party or controller in relation to its own account administration, billing, authentication, support, fraud prevention, security, compliance, and website operations. Processing is subject to Licensor's Privacy Policy and any applicable data processing agreement, each as updated from time to time. 7. OPERATIONAL AND SAFETY DISCLAIMER The Software is not designed, intended, or certified for use in life-critical, safety-critical, emergency response, or regulatory compliance systems. You acknowledge that the Software is intended to assist monitoring only and must not be relied upon as the sole basis for operational, safety, compliance, or emergency decisions. 8. LOCAL ENVIRONMENT DISCLAIMER Licensor is not responsible for issues caused by unsupported hardware, operating system limitations, local firewall rules, antivirus or endpoint protection interference, browser compatibility issues, mDNS or LAN discovery failures, local permissions, or other client-environment constraints affecting installation or operation of the Software. 9. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", TO THE MAXIMUM EXTENT PERMITTED BY LAW. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: a) LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION; AND b) LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SOFTWARE OR RELATED SERVICES IN THE ONE (1) MONTH PRECEDING THE CLAIM. 11. TERMINATION This Agreement remains in effect until terminated. Licensor may terminate this Agreement if you materially breach it and fail to cure such breach within a reasonable period. Upon termination, you must cease all use of the Software and destroy all copies, except to the extent applicable law requires otherwise. 12. GOVERNING LAW This Agreement is governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles. 13. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements on the subject, subject always to the applicable commercial agreement governing the Services. 14.
